These Terms of Service ("Terms") are a binding agreement between you and StoreWell LLC, doing business as StockWell Technologies("StockWell," "we," "us") governing your access to and use of the StockWell website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

StockWell is an organizational and tracking tool only. Expiration dates, "expiring soon" warnings, and FIFO/FEFO rotation suggestions are conveniences based on the information you enter and on general shelf-life estimates. They are not a guarantee of food safety, freshness, or fitness for consumption, and StockWell does not inspect, test, or verify any of your items.
You are solely responsible for deciding whether any food, supply, or item is safe to consume or use. Always use your own judgment, follow manufacturer guidance, and when in doubt, throw it out. Do not rely on StockWell, or the absence of an alert, as a substitute for inspecting your own items. StockWell is not liable for any illness, loss, or harm resulting from consuming or using items tracked in the Service.
1. Eligibility & accounts
You must be at least 18 years old (or the age of majority where you live) to use the Service. You are responsible for the activity under your account and for keeping your password secure. Notify us promptly of any unauthorized use.
You may invite other members to share a household inventory. The household owner is responsible for managing membership and for the conduct of members they invite.
2. The Service "as is"
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any data, alert, or estimate it produces is accurate or complete.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Attempt to access data belonging to other households or users, or probe, scan, or test the security of the Service;
- Interfere with or disrupt the Service, or impose an unreasonable load on our infrastructure;
- Reverse-engineer, resell, or republish the Service without our permission.
We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.
4. Subscriptions, auto-renewal, billing & refunds
StockWell offers a free tier and one or more paid subscription plans (currently "Prepared"). Paid plans are billed in advance through our payment processor, Stripe, on the recurring cycle you choose: monthly or annual. Applicable sales tax is calculated and added at checkout based on your billing location.

Your paid subscription automatically renews until you cancel. At the end of each billing period, your plan renews for another period of the same length (one month or one year), and the payment method on file is automatically charged the then-current price for your plan plus any applicable tax. The current price for your plan is shown at checkout and in Settings → Billing.
You can cancel at any time from Settings → Billing → Manage billing (which opens the Stripe customer portal), or by emailing us at support@mystockwell.com. Cancelling stops all future renewals and charges. Your cancellation takes effect at the end of the current billing period, and you keep access to paid features until then.
Free trial
We may offer a free trial of a paid plan (currently 30days on the "Prepared" plan). If you start one, the following applies:
⏳ Your free trial converts to a paid subscription automatically.
A valid payment method is required to start the trial. You are not charged during the trial period. When the 30-day trial ends, your subscription begins automatically and the payment method on file is charged the then-current price for the plan and billing cycle you selected (currently $6/month or $60/year for Prepared), plus any applicable tax. It then renews on that same cycle until you cancel, exactly as described above.
To avoid being charged, cancel before the trial ends. Cancel any time during the trial from Settings → Billing → Manage billing or by emailing support@mystockwell.com. If you cancel during the trial you are charged nothing, and you keep trial access until the trial period ends. We also send a reminder email to the account owner before the trial converts.
Trials are limited to one per household and per person, are for new subscribers, and are not available on a plan you have already subscribed to. We may modify, limit, or withdraw a trial offer at any time; that will not affect a trial already under way.
Refunds
Because plans are billed in advance for the full period, payments are non-refundable and unused or partial periods are not pro-rated or credited, except (a) where a refund is required by applicable law, or (b) where we choose to grant one at our discretion. If you believe you were charged in error or have a billing problem, email us at support@mystockwell.com and we'll review it in good faith and make it right where appropriate. Nothing in these Terms limits any non-waivable rights you have under consumer-protection law.
Price changes
We may change subscription prices or the features included in a plan. We will give reasonable advance notice (for example, by email) before a change to your recurring price takes effect, and changes apply to your next billing cycle. If you don't agree to a new price, you may cancel before your next renewal; continuing to use a paid plan after the change takes effect means you accept the new price.
Free tier
The free tier is offered without charge and may include usage limits. We may modify or discontinue the free tier at any time.
5. Your content & data
You retain ownership of the inventory data and other content you enter ("Your Content"). You grant us a limited license to store, process, and display Your Content solely to operate and improve the Service. Our handling of personal data is described in our Privacy Policy. You can export or delete your data as described there.
6. Limitation of liability
To the maximum extent permitted by law, StockWell and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or (without limiting the food-safety disclaimer above) any harm arising from your reliance on the Service.
To the extent any liability is not excluded, our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) USD $50.
7. Indemnification
You agree to indemnify and hold harmless StockWell from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms.
8. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "last updated" date and may ask you to re-accept. Your continued use of the Service after changes take effect constitutes acceptance.
9. Governing law
These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws rules. Any disputes will be subject to the courts located in that jurisdiction.
